The Maryland Basketball Officials Association (“Association”) desires to retain the services of you as an
Independent Contractor (“Contractor”) to officiate basketball assignments/games, and the Contractor by virtue of their
experience and training as a basketball official possesses the skill and knowledge to provide the Association
with such services in a professional manner.
NOW THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. The Contractor will provide basketball officiating services to the Association from time to time.
The Association may offer assignments/games to the Contractor who may accept or decline any assignments/games.
The Parties acknowledge that the Contractor may provide services for another organization or league and
that Contractor has sole control over their decision to officiate any assignments/games.
2. In performing the Contractor's service, the Contractor will conduct themselves in a
professional manner, holding themselves to the profession’s highest standards at all times.
In all other respects, the Contractor shall be free from control or direction from the Association.
3. The term of this agreement shall remain in effect as long as the Contractor is a member in
good standing of the Association.
4. The Contractor shall be paid an amount as set by the Commissioner from time to time.
5. The Contractor is deemed to be an Independent Contractor. The Contractor is not an employee of the
Association and nothing in this agreement shall be construed to create an agency relationship.
6. The Contractor is responsible for self-employment taxes and understands that they may elect to obtain
their own medical insurance, including but not limited to Worker’s Compensation Insurance and Disability Insurance,
none of which is provided by the Association.
7. The Contractor is responsible for all federal and state income taxes, FICA and federal unemployment
taxes which may accrue from officiating basketball assignments/games offered by the Association.
8. The Contractor hereby agrees to indemnify, defend and hold harmless the Association for any and all
claims, suits, and judgments arising out of the Contractor’s conduct in connection with assignments/games offered by
the Association.
This Agreement shall be interpreted under the laws of the State of Maryland.
